BD Star Agro Food is a food company in Bangladesh serving domestic retail businesses. The business mainly sells processed foods, spices, nuts, condiments, snack items etc. It has its in-house facility for processing and packaging food.  

The business started its journey on 30th July 2017. Over time the business expanded its operation and opened its factory in Abdullahpur. With an increased production capacity and observing a rise in demand in the market, the business is seeking funds to purchase raw materials to increase its supply of products.

Currently, the business has 140+ products and covers the market of Gazipur, Uttara, Rampura, Mirpur, and others. BD Stars specializes in delivering good quality premium products and moving forward to capture a larger market segment to meet the increasing demand for reliable, high-quality food options.

Afzal Hossain is the owner of BD Star Agro Foods. He started this business on his own in 2017. With his hard work and experience, he grew the business over time.  He is moving forward with a plan of providing service to all the districts of Bangladesh and creating employment opportunities for people.

The Contract

The investment is for a period of 9 months, from January 2024 to September 2024.

  • Projected ROI: 12.38% 

    Projected ROI (annualized): 16.5% Annualized

    Example: If someone invests BDT 100k in the project, he/she can expect to receive a total of BDT 112.38k by September ‘24.

    biniyog.io will be charging investors an 8.33% fee on their profits. Example: If an investor invests BDT 100k and makes a profit of 13.5k in 9 months, biniyog.io will charge 1.13k as a service fee. This means investors will be keeping 91.67% of the profits generated. The net ROI for the investors will be 12.38% for 9 months (16.5% annualized) after deducting biniyog.io’s fee.

  • Investors will go into a Murabahah agreement (sale contract) with BD Star Agro Foods for purchasing raw materials (spices, dry foods, nuts, etc).
  • It will be a “buy-and-sell” process where investors will first buy the products through biniyog.io. BD Star Agro Foods will then buy those items from investors on credit and pay the amount after 9 months.
  • biniyog.io will act as an agent for the investors and buy the products, take necessary ownership and risk of asset possession on their behalf, and then sell to BD Star Agro Food.
  • biniyog.io has proposed a price to BD Star Agro Food for the products after considering a minimum 13.5% profit on the actual cost of product procurement. BD Star Agro Foods has agreed to it. Investors will be getting a net of 12.38% profit after deducting biniyog.io’s service charge on investor profit.
  • Investors can expect to get their returns over 9 months.

Shariah Compliance

Investors appoint biniyog.io as an agent to deal on their behalf (Wakalah) and invest in the business through the buying and sale of assets under a “buy-and-sell” (Murabahah) agreement.

biniyog.io‘s Shariah advisors have approved the basis and application of this Bai’ Murabaha contract.

  • Food Safety and Quality Assurance: Contamination during processing or packaging could compromise the safety and quality of the food products. Inadequate quality control measures may result in a drop in the quality of the products reaching the market.

    • BD Star Agro Food’s Strategy: BD Star implements strict hygiene practices in its factory, and kept proper equipment to minimize contamination risks.
  • Regulatory Compliance: Failure to comply with food safety standards and regulations can lead to legal consequences. Non-compliance with accurate and transparent labeling may result in regulatory penalties.
    • BD Star Agro Food’s Strategy: The products that are being sold by BD Star Agro Foods do not need BSTI approval as per the regulations. BD Star is packaging and selling its products under the Bhojon Roshik name and they have patented the name and logo. 
  • Supply Chain Risks: Dependence on a limited number of suppliers might disrupt the supply chain, which in turn may affect production. Besides that volatility in the prices of raw materials may impact profit margins.
    • BD Star Agro Food’s Strategy: The business is collecting the required raw goods from multiple suppliers of the wholesale market. They have a good connection with the supply chain. As the business is selling premium products, a rise in the raw materials will allow the business to increase the price of final products. This will mitigate such issue to a tolerable point.
  • Market and Consumer Risks: Changes in consumer preferences or trends may impact the demand for specific products. Intense competition in the food industry can lead to price wars or loss of market share.
    • BD Star Agro Food’s Strategy: BD Star is currently providing 140+ products ranging from spices to snacks required in every household. Biniyog.io has done a market survey and found that its products have a good demand in the market and shops are stocking them every week.  
  • Logistical and Distribution Risks: Risks related to transportation, such as delays, damages, or temperature control failures affecting product quality. Difficulties in managing an effective distribution network may lead to stockouts or overstock situations. 
    • BD Star Agro Food’s Strategy: BD Star maintains an in-house delivery facility for delivering the products to multiple stores. 
  • Political instability: There might be some macroeconomic turmoil towards the end of 2023 before the general election. This may impact the business.

biniyog.io has done in-house analyses of the projected returns of the business and they are expected to be able to repay on time considering their cash flow.

biniyog.io will buy the products on behalf of investors first and secure ownership. BD Star Agro Foods would have the right to reject the products due to quality etc. The risk is expected to be minimal since BD Star Agro Foods will choose the items before biniyog.io buys them.

This is a necessary risk to ensure Shariah compliance of the transaction.

BD Star Agro Food will share a personal guarantee security cheque and installment cheques with biniyog.io. Moreover, a guarantor will be introduced in the contract to add an extra layer of security for the investors.
