The firm specializes in Health Care Products in the arena of Adult Care Skin Care, Baby Care, Hair care and Personal Care. It has sole distributorship of some of the renowned international dermo-cosmetics Brand for Bangladesh. 

The Band HYGIA, was conceptualized from Hygienic, started its journey in the Year 2019 with a motto to serve the Elderly Generation and Specially Challenged populations of the country who need attention and proper care. Initially the Brand was available only in Dhaka but with the increased demand from the market outside of Dhaka now the Brand is expanding its footprint into Divisional and District Headquarters Level. 

Having diverse expertise in B2B business, Client handling and importing a diverse range of products like cosmetics, foods, beverages, personal care and more made the business a cost effective business. The Firm has a dynamic distribution network and well-connected network of foreign Diaper Manufacturer to support its need to introduce new and innovative products in the market. 

Business is looking for new investment to support business expansion with new innovative products and current unforeseen intricacies of Letter of Credit margins.

Business is developing its business relationship with online stores and developing its partnership to promote the Brand HYGIA through online. It has a plan to introduce more innovative incontinence products in the market.

The Contract

The investment is for a period of 9 months, from January 2024 to October 2024.

Example: If someone invests BDT 100k in the project, he/she can expect to receive a total of BDT 112.38k by October’ 24.

biniyog.io will be charging investors a 5.71% fee on their profits. Example: If an investor invests BDT 100k and makes a profit of 13.13k in 9 months, biniyog.io will charge 0.75k as service fee. This means investors will be keeping 94.29% of profits generated. The net ROI for the investors will be 12.38% for 9 months (16.50% annualized) after deducting biniyog.io’s fee.

  • Investors will go into a Bai-Muajjal agreement (sale contract) with BS Healthcare for Importing Health Care Products.
  • It will be a “buy-and-sell” process where investors will first buy the products through biniyog.io. BS Healthcare will then buy those items from investors on credit and pay the amount after 9 months.
  • biniyog.io will act as an agent for the investors and buy the products, take necessary ownership and risk of asset possession on their behalf, and then sell to BS Healthcare.
  • biniyog.io has proposed a price to BS Healthcare for the products after considering a minimum 13.13% profit on the actual cost of product procurement and BS Healthcare has agreed to it. Investors will be getting a net of 12.38% profit after deducting biniyog.io‘s service charge on investor profit.

Investors appoint biniyog.io as an agent to deal on their behalf (Wakalah) and invest in the business through the buying and sale of assets under a “buy-and-sell” (Bai-Muajjal) agreement. 

biniyog.io‘s Shariah advisors have approved the basis and application of this Bai’ Muajjal contract.

  • Foreign Currency Exchange Rate: Uncertain Fluctuation of the dollar rate can increase the price and cost of imported products. This may result in a notable drop in profit margin.
    • BS Healthcare’s Strategy: The business normally purchases products in  bulk and store in their warehouse to avoid price fluctuation uncertainties. Moreover, the business has good connections with the suppliers allowing the business to achieve information advantage. 
  • Inflation and macroeconomic issues: The current devaluation of Bangladeshi Taka is a great matter of concerns for any kind of business. Moreover, the purchasing power of customers plays a major role in the industry that BS Healthcare is operating in. Any uncertain situations can result in significant downward hurtle in sales.
    • BS Healthcare’s Strategy: The business is looking for funds to purchase only the most demanding product (adult-diaper). Moreover, the business has an established sales channel (products being sold in 4 districts outside Dhaka) that enables them to sell the products smoothly. 
  • Intense competition in the market: The business is established as a brand in the local market. In this scenario predatory pricing (such as selling at loss to increase market share/drive competitions out of business) can be a threat for the business.
    • BS Healthcare’s Strategy: The business has been doing business for 5 years now. Established connections with suppliers and having an optimum sales channel has helped the business to maintain a smooth transaction chain on both ends resulting in a good footing in the relevant markets..
  • Possibility of political turmoil following the upcoming election: Our assessment assumes that there will be some macroeconomic turmoil towards the end of 2023 before the general election. This may impact any business.

 biniyog.io has done in-house analyses of the projected returns of the business and they are expected to be able to repay on time considering their cash flow.

 biniyog.io will buy the products on behalf of investors first and secure ownership. BS Healthcare would have the right to reject the products due to quality etc. The risk is expected to be minimal since BS Healthcare will choose the items before biniyog.io buys them.

BS Healthcare will share a security cheque. Moreover, a guarantor will be introduced in the contract to add an extra layer of security for the investors.
