The Business aims to provide a good shopping experience through physical outlets and E-commerce and F-Commerce platforms. With a dynamic range of brands, including Pacific Wolf, Ahnaf, Faria’s, Pozzo Beauty, Skiniliciuous, and Glaomourise, The business caters to diverse preferences, ensuring every customer finds their perfect fit. The business started its  journey in 2015. It started as an online retail store and currently the business has 7 outlets in different locations in Dhaka city and other districts. The business remarks themselves by offering different varieties of products at an affordable price. Currently the business is looking for funds for the Eid season to purchase finished garments products

💡 Is the business Shariah-compliant?

The business model (selling men’s T-shirts and Women’s Dress) is Shariah-compliant.

However, according to our Shariah Advisors, biniyog.io and the investors will NOT be liable if the day-to-day operations of the business are not fully Shariah-compliant.

This is because investors will be going into a Murabaha (sale contract), not profit-sharing or partnership. Please find contract details in the “Contract” section below.

Owner Mr. Ahnaf Akif has a business experience of 10 years. He has experience in Trading,Import & manufacturing. Moreover he owns business in other fields like Agro , Travel Agency & Restaurant. Now we do only retail business in S A Corporation but His Aim is to distribute the brand all over Bangladesh.

The Contract

The investment is for a period of 6 months, from March 2024 to September 2024.

Projected ROI: 8.25% 

Projected ROI (annualized): 16.5% Annualized

Example: If someone invests BDT 100k in the project, he/she can expect to receive a total of BDT 108.25k by September 24

biniyog.io will be charging investors an 8.33% fee on their profits. Example: If an investor invests BDT 100k and makes a profit of 9k in 6 months, biniyog.io will charge 0.750k as a service fee. This means investors will be keeping 91.67% of the profits generated. The net ROI for the investors will be 8.25% for 6 months (16.5% annualized) after deducting biniyog.io’s fee.

  • Investors will go into a Murabaha agreement (sale contract) with S A C Lifestyle for purchasing Ready Made Garments (RMG) items like men’s shirts, women’s dresses etc.
  • It will be a “buy-and-sell” process where investors will first buy the products through biniyog.io. S A C Lifestyle will then buy those items from investors on credit and pay the amount after 6 months.
  • biniyog.io will act as an agent for the investors and buy the products, take necessary ownership and risk of asset possession on their behalf, and then sell to S A C Lifestyle.
  • biniyog.io has proposed a price to S A C Lifestyle for the products after considering a minimum 9% profit on the actual cost of product procurement and S A C Lifestyle has agreed to it. Investors will be getting a net of 8.25% profit after deducting biniyog.io‘s service charge on investor profit.
  • Investors can expect to get their returns in 1 installment in 6 months.
    • 100% in September 2024.

Investors appoint biniyog.io as an agent to deal on their behalf (Wakalah) and invest into the business through buy and sale of assets under a buy-and-sell (Bai Murabaha) agreement.

  • Supply Chain Disruptions: S A C lifestyle offers varieties of product range to its customer and the business needs an optimal level of stock to meet the demand from time to time. So, supply chain disruption can be a threat for the business. 
    • S A C lifestyle’s strategy: The business sells imported products like skincare products, and other products like shoes, bags etc. business owner owner’s expertise in import and export helps the business to mitigate the challenges of importing, Moreover, the business sources products from local manufacturers also. Additionally, an established relationship with multiple manufacturers and logistics partners help the business to source products smoothly.
  • Lower Central Control over different outlets: As S A C Lifestyle has 7 outlets in different locations in Dhaka city so it is quite challenging to monitor day to day operations of each store everyday and making individual decisions.
    • S A C Lifestyle’s Strategy: The business has full ownership of most of the shops which helps to keep full control of those outlets. The business has started to give out franchise shops but it has started only recently. Moreover, to control the operations of every shop the business is using a personalized software system to track each and every transaction, the business can monitor the level of inventory and each sales generated everyday.
  • Intense Market Competition: Several Bands are in the market doing business. In this state, differentiating a business among others and  unethical competition can be a challenge to be dealt with.
    • S A C Lifestyle’s Strategy: S A C Lifestyle has been able to make a strong footing in the pool of online based lifestyle brands. Later on, the business was able to create its footprint in the offline market by opening outlets in different locations. This gradual expansion history and above standard business growth can be considered as their potential to grow further.
  • Fluctuation of product cost: The business aims to serve its customer with the best in the market. In this scenario, fluctuation of product cost can result in a price hike of the product of S A C Lifestyle.
    • S A C Lifestyle’s Strategy:  The business has established a good relationship with its supplier, because of that, the business enjoys information advantage about the market or future forecast of the market. Therefore, the business can make its purchase decisions wisely to mitigate the threat of price hike and high purchase price to a tolerable point 

biniyog.io has done in-house analyses of the projected returns of the business and they are expected to be able to repay on time considering their cash flow.

biniyog.io will buy the products on behalf of investors first and secure ownership. S A C Lifestyle would have the right to reject the products due to quality etc. The risk is expected to be minimal since S A C Lifestyle will choose the items before biniyog.io buys them.

This is a necessary risk to ensure Shariah compliance of the transaction.

S A C Lifestyle will share a personal guarantee security cheque and installment cheques with biniyog.io. Moreover, a guarantor will be introduced in the contract to add an extra layer of security for the investors.
