Shopan Agro Farm has been operating for around 2 years now. The business has been working tirelessly to build its brand as one of the essential destinations for both the farm owners and final consumers. As part of its brand establishing strategy, the business has been keeping considerably lower margins from all levels of customers. The business has sold over 30 bulls during the last Eid-ul-Adha. 

The business has been pushing to create a stable sales channel of B2B business through which they plan to generate a minimum expected level of revenue. For implementing this step, the business needs to focus on its marketing strategies and tap the right promotional channels. The business has already started doing Youtube reviews through a Youtube channel. Incurring cost for brand building comes with a significant cost and effort that might result in a liquidity crisis for the business that will ultimately result in a “cow stock-out” situation. As the business generates a significant amount of its revenues through its wholesale wing, any product stock-out situation is likely to affect its revenue significantly. Therefore, the business is looking to raise funds to maintain an optimum level of cow stock and continue to trade seamlessly. 

Apart from the cow farming business, Shopan is also involved in a honey business. The honey business is mainly operated through its online page. Additionally, various research projects and honey awareness work.

Mr. Ariful Islam 

Mr Ariful Islam passed his SSC and HSC from BAF Shaheen College and completed his honours in Journalism from Stamford University and MBM (Masters of Bank Management) from Bangladesh University of Business Technology. He ran a business of gents garments and also a pharmacy business. His work with honey started out as a hobby, and turned into a major business while studying and writing extensively about it! The pharmacy is still active, but the garment business has been closed and now the sole focus is on the honey business.

Shopan has been working in the honey sector for 6 years, and has gathered a good reputation for themselves. They are using this network and also tapping into an untapped online cow market in North Bengal.

The Contract

The investment is for a period of 6 months, from September 2023 to March 2024.

biniyog.io will NOT charge the investors any fees for this service. 

Example: if someone invests BDT 100k in the project, he/she can expect to receive a total of BDT 108k by March ‘24.

  • Investors will go into a Murabahah agreement (sale contract) with Shopan Agro Farm  for purchasing cows. 
  • It will be a “buy-and-sell” process where investors will first buy products through biniyog.io. Shopan Agro Farm will then buy those items from investors on credit and pay the amount over 6 months in a single repayment.
  • biniyog.io will act as an agent for the investors and appoint Shopan Agro Farm  to arrange the purchase of cows. biniyog.io will then take necessary ownership and risk of asset possession on their behalf, and then sell to Shopan Agro Farm.
  • biniyog.io has proposed a price to Shopan Agro Farm for the products after considering a minimum 8% profit on actual cost of product procurement. Shopan Agro Farm has agreed to it.
  • Investors can expect to get their returns over 6 months in 1 repayment:
    • Final 100% in March’24

Shariah Compliance

Investors appoint biniyog.io as an agent to deal on their behalf (Wakalah) and invest into the business through buy and sale of assets under a buy-and-sell (Bai Murabaha) agreement.

biniyog.io‘s Shariah advisors have approved the basis and application of this Murabahah contract.

  • Death of an asset: Livestocks bear the risk of sudden death. In such cases, business incurs a loss of capital.
    • Shopan Agro’s strategy: After purchase, the business takes vet services from the locally available vets. As there are numerous small and medium cow farms in Sirajganj, there are many vets operating in that area. Some vets even provide 24/7 services. Having proper veterinary services available reduces the chance of death of livestocks significantly. Point to note here is that, once the cattle has been sold to the business, investors do not bear any liability of disease or death, and the business is liable to repay investors.  
  • Not achieving expected growth of cattle after rearing: After raising the bulls for the intended period of time, there is a possibility that the growth won’t be as anticipated. The business’s profit margin might be significantly impacted by this.
    • Shopan Agro’s strategy: The business mainly generates revenue through its B2B wholesale wing. Therefore, only a very few cows are kept for rearing. Therefore, such an issue will not bring in any significant financial stress on the business.
  • Price hike of cattle feed: Price of almost everything has gone up in recent days. If the price of cattle feed goes up significantly, the profit margin of the business might be hurt significantly. 
    • Shopan Agro’s strategy: The business enjoys location advantage due to being located in a rural area. The food cost is cheaper in the rural areas due to a lot of cattle food options being available. Therefore, the business has been and is expected to maintain a tolerable position for itself in case of the current price hike trend.  

According to biniyog.io’s in house analysis, payment delay is not expected if the business continues to perform in the same way they have been performing for the last 2 years. However, livestock business can face uncertainties with cattle.; If such a case occurs, biniyog.io will investigate the issue and let investors know for any payment delay.
Point to be noted here is that the profit margin will not change in case of any payment delay.

biniyog.io will buy the products on behalf of investors first and secure ownership. Shopan Agro Farm  will act as collection agent for cows. The products will then be handed over to Shopan Agro Farm within a very short time frame.

Shopan Agro Farm  would have the right to reject the products due to quality etc. The risk is expected to be minimal since Shopan Agro Farm  themselves will be choosing the items before biniyog.io buys them.

This is a necessary risk to ensure Shariah compliance of the transaction.

Shopan Agro Farm  will share instalment cheques and a security cheque with biniyog.io. Moreover, a guarantor will be introduced in the contract as an extra layer of safety for the investors.
