The Contract

The investment is for a period of 6 months, expected from end of July 2023 to January 2024.

biniyog.io will NOT charge the investors any fees for this service. 

Example: if someone invests BDT 100K in the project, he/she can expect to receive a total of BDT 107.5K by January‘24.

  • Investors will go into a Murabahah agreement (sale contract) with SupplyLine for producing rice brand; SupplyLine 28
  • It will be a “buy-and-sell” process where investors will first buy products through biniyog.io. SupplyLine will then buy those items from investors on credit and pay the amount over 6 months in 1 payment.
  • biniyog.io will act as an agent for the investors and buy the products, take necessary ownership and risk of asset possession on their behalf, and then sell to SupplyLine
  • biniyog.io has proposed a price to SupplyLine for the products after considering a minimum 7.5% profit on actual cost of product procurement. SupplyLine has agreed to it.
  • Investors can expect to get their returns over 6  months in 1 payment

Investors appoint biniyog.io as an agent to deal on their behalf (Wakalah) and invest into the business through buy and sale of assets under a “buy-and-sell” (Murabahah) agreement. 

Approval from Scholars: biniyog.io‘s Shariah advisors have approved the basis and application of this Murabahah contract.

  • Risk of missing the expected purchasing schedule: If the business fails to stock rice;SupplyLine 28 on time, they might be unable to resell all the stock at the expected price and time. This situation might cause the business to experience a some decrease in revenue, and it can reduce the overall profit margin as well.

SupplyLine’s Strategy: SupplyLine 28 is the most transacted item of SupplyLine. The business has a plan to sell some through its vast channel of buyers (the wholesalers and retailers). Increasing the number of buyers will ensure a minimum quantity of sales for the business to mitigate this particular issue, towards which they are working.

  • Supply chain disruptions: Grocery wholesalers rely on a complex supply chain to source products and deliver them to retailers or relevant customer bases. Disruptions in the supply chain, such as transportation delays, inventory shortages, or supplier issues, can impact the ability to fulfil orders on time.

SupplyLine Strategy:  SupplyLine has their  own delivery network, ensuring 24/7 customer support and mitigating transportation delays. Disruptions in their supply chain are highly unlikely in their business model due to their constant lookout for any sort of supply chain disruptions.

  • Price fluctuations: The price of rice may fluctuate, both in terms of the products being sold and the costs involved in the operation. Fluctuations in prices, currency exchange rates, or transportation costs can affect profit margins and overall business stability.

SupplyLine Strategy: This is a macroeconomic issue that may affect any business. However, SupplyLine has a price advantage with their rice, and it is very popular among the middle and low-income consumers. It is also a necessity item that is not expected to diminish in demand.

  • Possibility of political turmoil surrounding the upcoming election: Our assessment assumes that there will be some macroeconomic turmoil towards the end of 2023 before the general election. This may impact any business regarding repayments.

biniyog.io will buy the products on behalf of investors first and secure ownership. The products will then be handed over to SupplyLine within a very short time frame.

SupplyLine would have the right to reject the products due to quality etc. The risk is expected to be minimal since SupplyLine  themselves will be choosing the items before biniyog.io buys them.

This is a necessary risk to ensure Shariah compliance of the transaction.

biniyog.io has done in-house analyses of the projected returns of the business and they are expected to be able to repay on time, if not hugely impacted by macroeconomic issues.

An undated security cheque will be kept from the business owner. Additionally, the business will be providing a guarantor to provide more assurance and confidence to the investors.
