SWAP (Swap BD Ltd) is the first-ever re-commerce & e-commerce marketplace in Bangladesh where consumers can sell, swap, or buy products such as smartphones, laptops, appliances, vehicles & more at the press of a button. It operates as a C2B, B2B and C2B2C marketplace where customers can not only buy brand new or pre-owned products based on their affordability and other preferences, but also sell their unneeded/surplus products at a fair market price. Currently, SWAP is the only re-commerce platform in Bangladesh that lets customers experience secure, hassle-free and haggle-free selling at the shortest possible time.

The business has made on time installment payments and has repaid 100% of the repayments of its previous campaign.

This is a sale contract (Murabaha) approved by our Shariah advisors, where investors will purchase products first (biniyog.io will facilitate the purchase), and then sell to SWAP BD at a mark-up. This mark-up amount against sold products is the fixed return / profit for investors.

The Contract

The investment is for a period of 12 months, expected from April 2024 to April 2025.

Projected Return on Investment (ROI): 17.5%

Example: If someone invests 100k in the project, he/she can expect to receive a total of BDT 117.5k in April 2025.
biniyog.io will be charging investors a 3.58% fee on their profits. Example: If an investor invests BDT 100k and makes a profit of 18.15k in 12 months, biniyog.io will charge 0.650k as a service fee. This means investors will be keeping 96.42% of the profits generated. The net ROI for the investors is calculated after deducting biniyog.io’s fee. 

    • Investors will go into a Murabaha agreement (sale contract) with SWAP BD
    • It will be a “buy-and-sell”process where investors first buy laptops through biniyog.io, and SWAP BD will be buying laptops from investors at a markup price and pay the amount after 12 months.
    • biniyog.io will act as an agent for the investors and buy the products and take necessary ownership and risk of asset possession on their behalf, and then sell to SWAP BD
    • biniyog.io has proposed that a markup price of 18.15% on actual cost will be charged to the business for each laptop, and SWAP BD has agreed that it’s a fair price for both the business and the investors. Investors will be getting a net of 17.5% ROI after deducting biniyog’s fee from investor profit. 
    • Investors can expect to get their returns in the following order:
        • 3.81% in July’24
        • 7.54% in October’24
        • 7.54% in January’25
        • 81.11% in April’25

Investors appoint biniyog.io as an agent to deal on their behalf (Wakalah) and invest into the business through buy and sale of assets under a buy-and-sell (Bai Murabaha) agreement.

  • Laptop rental being a (comparatively) new wing of the business : SWAP has started their laptop rental wing 14 months ago. They have been managing the rental service smoothly so far. But there is a possibility for the  business to face issues such as not getting the rents on time, not being able to collect the laptops on time after the end of the tenure, etc. Since this is a new wing for the business, unforeseen circumstances may occur in future. Good quality customer acquisition may also be an issue for the business.
    • SWAP’s strategy: The business has a wide area of experience and expertise in trading laptop and mobile phones. This experience and knowledge have been put to use while running the laptop rental wing. This has allowed the business to manage the new wing efficiently from the very beginning. SWAP has already acquired renowned businesses such as Jatri, Krishi Swapno, Amar Taka, Shikho etc. for the laptop rental service.
  • Laptops might get damaged while on rent: The devices can get damaged, stolen, dysfunctional while it’s on rent. Major issues such as this will fall on both the investors and SWAP based on the ownership portion held by each party. 
    • SWAP’s strategy:  SWAP has been doing the laptop rental for 14 months now. The business signs a contract for each laptop rental. SWAP investigates in case there are any major issues (mentioned above) with the rented out laptops & take actions accordingly. 
  • Delay in rental payments: The business rents out laptops to various clients. There is a possibility for the clients of SWAP to delay rental payments for any avoidable/ unavoidable circumstances. This might affect on time rental payments for the investors as well.  
    • SWAP’s strategy:  SWAP has been working with many clients so far. Thus, they are able to filter out clients with good rental payment history. Moreover, the investors will be making rental contracts directly with SWAP. Therefore, the business will be liable to pay their rent on time.        

biniyog.io will buy the products on behalf of investors first and secure ownership. SWAP BD would have the right to reject the products due to quality etc. The risk is expected to be minimal since SWAP BD will choose the items before biniyog.io buys them.
This is a necessary risk to ensure Shariah compliance of the transaction.

biniyog.io has done in-house analyses of the projected returns of the business and they are expected to be able to repay on time, if not hugely impacted by macroeconomic issues.

SWAP will share a security cheque with biniyog.io. Moreover, a guarantor will be introduced in the contract to add an extra layer of safety for the investors.
